TailoredQuote Terms and Conditions

These Terms and Conditions govern access to and use of TailoredQuote, including the TailoredQuote website, web application, dashboards, quoting tools, invoice tools, AI-assisted generation features, image and mockup tools, PDF generation tools, customer and client management tools, e-signature and quote-acceptance tools, storage, support, communications, and any related services, software, content, or functionality made available by TailoredQuote from time to time (together, the Service).
By clicking to accept these Terms, creating an account, starting a free trial, subscribing, paying for a Plan, or accessing or using any part of the Service, you agree to be legally bound by them.
If you do not agree to these Terms, you must not use the Service.
1. About TailoredQuote
1.1 TailoredQuote is operated by TailoredQuote LTD, a company incorporated in England and Wales with company number [COMPANY NUMBER] and registered office at 28-30 Grange Rd W, Birkenhead CH41 4DA (we, us, our, or TailoredQuote).
1.2 Our website is tailoredquote.co.uk.
1.3 You can contact us using the Contact page made available through the Service or by email at [email protected].
2. Business and Sole Trader Use Only
2.1 The Service is intended for use by businesses, sole traders, self-employed tradespeople, contractors, and other users acting for business purposes.
2.2 You confirm that you are using the Service wholly or mainly for purposes relating to your trade, business, craft, or profession.
2.3 The Service is not intended for private consumer use unrelated to a trade, business, craft, or profession.
2.4 If you enter into this Agreement on behalf of a company, partnership, firm, or other organisation, you confirm that you have authority to bind that entity.
3. Definitions
In these Terms:
- Account means the TailoredQuote account used to access the Service.
- Agreement means these Terms together with the Privacy Policy, Cookie Policy, pricing page, any applicable Order Form, and any schedules incorporated into these Terms.
- Authorised User means a person permitted by you to use the Service under your Account in accordance with your Plan.
- Customer, you, or your means the business or person entering into this Agreement.
- Customer Content means all data, text, prompts, project descriptions, rates, prices, client details, customer details, addresses, contact details, documents, files, plans, drawings, logos, branding, photographs, property images, room images, garden images, site images, signatures, PDFs, invoices, quotes, signed records, and other material submitted to, uploaded to, stored in, or processed through the Service by or on behalf of you.
- E-Signature Feature means any feature of the Service used to send a quote or similar business document for digital approval, acceptance, or signature.
- Fees means all subscription fees and any other charges payable by you for the Service.
- Free Trial means any free access period offered by TailoredQuote.
- Generated Output means any AI-generated, system-generated, derived, transformed, or automatically created content or asset produced through the Service, including quote wording, scope wording, line items, price structures, mockups, generated images, edited visuals, PDFs, acceptance records, and similar outputs.
- Plan means the relevant subscription tier, package, or service level made available by TailoredQuote.
- Personal Data has the meaning given in applicable UK data protection law.
- Subprocessor means any third party engaged by TailoredQuote to process personal data on your behalf as part of providing the Service.
4. Contract Formation and Term
4.1 This Agreement begins on the earliest of:
- the date you click to accept these Terms;
- the date you create an Account;
- the date you start a Free Trial;
- the date you first access or use the Service; or
- the effective date of any Order Form.
4.2 If there is any conflict between these Terms and a signed Order Form, the Order Form prevails to the extent of that conflict.
4.3 This Agreement continues until terminated in accordance with these Terms.
5. Accounts and Access
5.1 You must be at least 18 years old to create an Account.
5.2 You must provide accurate, complete, and up-to-date registration information.
5.3 You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity occurring under your Account;
- controlling who can access the Service through your Account;
- removing or revoking access for anyone who should no longer have access; and
- notifying us promptly of any unauthorised access, suspected misuse, or security issue.
5.4 You must not:
- share credentials outside your business except as expressly permitted by your Plan;
- allow unrelated businesses to use the same Account;
- impersonate another person or business;
- create an Account using false, misleading, or incomplete information.
5.5 Enterprise plans may include multiple user accounts where expressly stated. Unless expressly stated otherwise, TailoredQuote may treat each subscription as intended for use by a single business organisation.
5.6 We may refuse registration, require changes to Account details, impose technical restrictions, or suspend access where reasonably necessary for legal, operational, support, security, fraud-prevention, or brand-protection reasons.
6. Plans, Trials, and Feature Availability
6.1 TailoredQuote may offer different Plans with different features, limits, storage, support levels, user allowances, and access permissions.
6.2 Public plans may include Essentials, Pro, and Enterprise, but we may change, rename, reprice, remove, or repackage Plans and features at any time.
6.3 A new Account may be offered a 14-day Free Trial with full Pro access, unless we state otherwise.
6.4 No payment card is required to start the Free Trial unless we expressly change that policy.
6.5 We may refuse, restrict, suspend, or terminate a Free Trial where we reasonably believe it is being abused, duplicated, used in bad faith, or used for benchmarking or competitor research.
6.6 When the Free Trial ends, access to paid-only features ends unless you subscribe to a paid Plan.
6.7 Certain features, including AI generation, mockup/image generation, advanced workflows, and e-signature features, may only be available on selected Plans.
7. Pricing, Billing, Renewals, Cancellation, and Refunds
7.1 Paid subscriptions are billed in advance on a recurring basis.
7.2 TailoredQuote may offer monthly and annual billing options.
7.3 All prices displayed by TailoredQuote are in pounds sterling and are inclusive of any taxes actually charged by TailoredQuote at that time. TailoredQuote does not currently charge VAT unless and until it becomes VAT-registered and updates its pricing and related wording accordingly.
7.4 We may change pricing by giving notice. Any price change will usually take effect from the beginning of your next renewal period.
7.5 Subscriptions renew automatically unless cancelled before the next renewal date.
7.6 If you cancel, future renewals will stop, but your access will remain active until the end of the subscription period you have already paid for.
7.7 No partial, pro-rated, or unused-period refunds are available.
7.8 TailoredQuote offers a 30-day money-back guarantee from the date the relevant payment is taken.
7.9 To request a refund under that guarantee, you must submit the request within 30 days of the relevant payment being taken, either:
- through the Contact page available in the logged-in area; or
- by email to [email protected] with the subject line Refund.
7.10 Refund requests received after that 30-day period are not eligible for refund.
7.11 We may refuse a refund request where we reasonably believe there has been fraud, abuse, repeated misuse of the refund process, or a material breach of these Terms.
7.12 If payment fails, we may retry payment, suspend access, restrict features, downgrade the Account, or terminate this Agreement.
8. Permitted Use
8.1 Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for your internal business purposes.
8.2 You must use the Service lawfully, responsibly, and only in accordance with these Terms and any Documentation we make available.
9. Prohibited Use
You must not, and must not permit any third party to:
9.1 use the Service for any unlawful, fraudulent, misleading, abusive, harmful, or infringing purpose;
9.2 upload, transmit, store, or process content that infringes privacy rights, intellectual property rights, confidentiality obligations, contract rights, or other third-party rights;
9.3 upload malware, malicious code, ransomware, spyware, or harmful files;
9.4 probe, scan, test, circumvent, or interfere with Service security or technical protections;
9.5 scrape, mirror, decompile, reverse engineer, frame, or attempt to extract source code, prompts, logic, data structures, or underlying workflows, except where mandatory law does not permit such restriction;
9.6 use the Service to build, train, benchmark, or support a competing product or service without our prior written consent;
9.7 use automated methods to access the Service outside the functionality expressly provided by TailoredQuote;
9.8 use the Service for spam, phishing, deceptive communications, or abusive mass messaging;
9.9 use the E-Signature Feature for deeds, wills, land transfers, notarised documents, regulated financial instruments, or any transaction type requiring witnessing, notarisation, qualified signatures, advanced signatures, or wet-ink execution;
9.10 use the Service to process special category personal data, criminal offence data, biometric data for identification, children’s data, or other highly sensitive data unless strictly necessary, lawful, and independently assessed by you as suitable for use with the Service;
9.11 upload children’s images, sensitive household/property images, or third-party personal material without all required permissions, notices, and lawful basis;
9.12 use the Service in a way that causes excessive technical load, interferes with other users, or degrades Service performance.
10. Your Responsibilities
10.1 You are solely responsible for:
- all Customer Content;
- all prices, scopes, line items, specifications, exclusions, assumptions, declarations, and contractual wording you send to your own customers;
- all recipients of your quotes, invoices, emails, visuals, PDFs, and signature requests;
- the legality, accuracy, completeness, and suitability of all Customer Content and Generated Outputs before use;
- obtaining all necessary rights, permissions, consents, notices, assignments, licences, and lawful bases for any data, images, signatures, branding, property photos, and other material you upload or process;
- deciding whether the E-Signature Feature is appropriate for a particular document or transaction;
- downloading and retaining any records you require for legal, tax, evidential, insurance, contractual, or operational purposes.
10.2 You warrant and represent on an ongoing basis that:
- you have all necessary rights to upload, use, and submit Customer Content through the Service;
- your use of the Service and Customer Content complies with all applicable laws and regulations;
- you will provide appropriate privacy information to your own customers, contacts, signers, and other individuals whose data you use;
- you will review all Generated Outputs before relying on them or sending them onward;
- you will not misrepresent TailoredQuote’s role, legal effect, or capabilities to your own customers.
11. AI Features, Quote Generation, and Mockups
11.1 The Service may use AI systems, probabilistic models, templates, automation, and machine-assisted workflows to produce Generated Outputs.
11.2 Generated Outputs may be inaccurate, incomplete, misleading, inconsistent, unsuitable, or wrong.
11.3 Any pricing suggestions, quote wording, scope descriptions, line items, calculations, mockups, or visuals are for assistance only.
11.4 Generated Outputs do not constitute legal advice, surveying advice, design advice, engineering advice, planning advice, regulatory advice, or guaranteed cost advice.
11.5 Visual outputs, room mockups, garden mockups, and other image-based outputs are illustrative only and are not guaranteed to reflect final appearance, buildability, site conditions, planning outcomes, technical feasibility, or regulatory compliance.
11.6 You remain solely responsible for reviewing, editing, approving, checking, and validating every Generated Output before use.
11.7 We do not guarantee that any Generated Output will:
- be accurate or complete;
- be fit for your purposes;
- comply with any law, industry standard, contract, or insurer requirement;
- increase conversion rates;
- win work;
- avoid disputes; or
- match real-world finished results.
12. E-Signature Feature
12.1 The E-Signature Feature is provided as a tool to help you send routine quotes or comparable business documents for digital approval and to record associated evidence of acceptance.
12.2 The E-Signature Feature is not:
- legal advice;
- a witness service;
- a notarial service;
- a regulated trust service;
- a qualified electronic signature service; or
- an advanced electronic signature service unless we expressly state otherwise in writing.
12.3 You are solely responsible for:
- the content of the quote or document being sent;
- any declaration, acceptance wording, or legal text presented to the signer;
- selecting the intended recipient;
- deciding whether the workflow is suitable for the transaction;
- deciding whether additional formalities, notices, consumer-law wording, cancellation wording, or separate contractual documents are required;
- deciding whether the resulting signed record is sufficient for your purposes.
12.4 We do not guarantee that any electronically accepted quote, signature, or acceptance record:
- forms a valid or binding contract in every case;
- is suitable for every transaction type or jurisdiction;
- satisfies every court, insurer, lender, regulator, or adjudicator; or
- will be treated as sufficient evidence in every dispute.
12.5 You must not use the E-Signature Feature for document categories where electronic signing may be unsuitable or legally insufficient without obtaining your own legal advice.
12.6 Where the E-Signature Feature captures signature images, typed names, timestamps, IP addresses, email addresses, quote references, or similar acceptance metadata, you acknowledge and agree that:
- such data may be processed at your instruction in order to provide the workflow;
- you are responsible for your own customer-facing privacy notices and legal wording; and
- TailoredQuote may include that information in signed records or appended acceptance pages.
13. Customer Content, Uploaded Images, and Generated Images
13.1 Subject to clauses 13.2 to 13.9, as between you and us, you retain ownership of your Customer Content.
13.2 You grant TailoredQuote a worldwide, non-exclusive, royalty-free licence to host, store, copy, reproduce, adapt, modify, transform, process, and otherwise use Customer Content, including uploaded property photographs and other uploaded visual materials, for:
- operating and providing the Service;
- generating quotes, mockups, visuals, PDFs, invoices, signed records, and other outputs;
- troubleshooting, support, maintenance, moderation, testing, quality control, and service administration;
- analytics, internal research, workflow improvement, and product development.
13.3 Private by default. Customer Content, including uploaded property photographs, room images, customer project images, and generated mockups, is private by default. TailoredQuote will not use your Customer Content for marketing, portfolio, case studies, demonstrations, social media, advertising, or other promotional purposes without your separate written permission.
13.4 Marketing use opt-in. If you wish to allow TailoredQuote to feature your uploaded images or generated outputs in marketing or promotional materials, you may grant that permission separately in writing (email is sufficient). You may withdraw that permission at any time by sending a written request. After processing that request, TailoredQuote will use reasonable efforts to stop new promotional use of that specific content.
13.5 You warrant that you have obtained all rights, permissions, notices, lawful bases, and consents necessary to grant the licence in clause 13.2, including where uploaded images depict homes, gardens, interiors, neighbouring property details, identifiable individuals, registration marks, or other personal or private information.
13.6 To the fullest extent permitted by law, TailoredQuote shall own all right, title, and interest in and to all Generated Outputs that consist of generated images, edited visuals, transformed images, mockups, derivative visuals, and similar visual outputs created by or through the Service, without prejudice to any third-party rights subsisting in source material uploaded by you.
13.7 A withdrawal of marketing permission under clause 13.4:
- does not affect prior lawful use;
- does not require TailoredQuote to recall, erase, or destroy materials already published, distributed, embedded, backed up, or incorporated into existing content; and
- does not affect TailoredQuote’s continuing right to retain and use the relevant item where needed for service delivery, legal compliance, internal records, dispute handling, security, analytics, backups, or product development.
13.8 The licence in clause 13.2 continues for as long as your Customer Content is stored in the Service, and terminates when the content is deleted or your account is closed (subject to legal retention requirements).
13.9 You are solely responsible for maintaining your own copies and backups of any Customer Content and Generated Outputs you wish to retain.
14. Data Protection Roles
14.1 In relation to personal data you upload or input into the Service about your own customers, prospects, clients, householders, signers, subcontractors, suppliers, or staff as part of your use of the Service, you are the controller and TailoredQuote is your processor, except where clause 14.2 applies.
14.2 TailoredQuote acts as an independent controller in relation to personal data it processes for its own purposes, including account administration, billing, fraud prevention, support, security monitoring, analytics, service improvement, legal compliance, and enforcement of these Terms.
14.3 Schedule 1 forms part of this Agreement and applies where TailoredQuote processes personal data on your behalf.
15. Your Data Protection Obligations
15.1 You must ensure that you have an appropriate lawful basis for all personal data you submit to the Service.
15.2 You must ensure that your own privacy information adequately explains your use of TailoredQuote where required, including storage of customer details, property photographs, transactional communications, AI-assisted generation, and e-signature workflows.
15.3 You must not instruct TailoredQuote to process personal data in a way that would breach applicable data protection law.
15.4 You remain solely responsible as controller for responding to your own legal obligations to data subjects, unless the law requires otherwise.
16. Security
16.1 TailoredQuote will implement reasonable and appropriate technical and organisational measures designed to protect Customer Content against unauthorised or unlawful processing and against accidental loss, destruction, damage, alteration, or disclosure.
16.2 You acknowledge that no online system is completely secure and TailoredQuote does not guarantee that the Service will be free from security incidents, unauthorised access, data loss, or interruption.
16.3 You are responsible for securing your own devices, email accounts, credentials, internal systems, and user access controls.
17. Subprocessors and Third-Party Services
17.1 You authorise TailoredQuote to use Subprocessors and service providers as reasonably necessary to provide the Service, including for hosting, database/storage, AI processing, email delivery, website delivery, support, authentication, monitoring, analytics, and billing.
17.2 TailoredQuote may add, replace, or remove Subprocessors from time to time.
17.3 TailoredQuote remains responsible for its Subprocessors to the extent required by law and this Agreement.
17.4 The Service may rely on third-party infrastructure and services. TailoredQuote is not responsible for the acts or omissions of third-party services except to the extent expressly stated in this Agreement.
18. Availability, Maintenance, and Support
18.1 TailoredQuote will use reasonable efforts to make the Service available, but does not guarantee uninterrupted, error-free, or secure access.
18.2 TailoredQuote may perform maintenance, updates, patches, changes, and upgrades that temporarily affect availability or functionality.
18.3 Unless expressly agreed in writing, TailoredQuote does not provide any service level agreement, uptime guarantee, or response-time guarantee.
18.4 Enterprise-specific commitments, if any, apply only where expressly stated in a signed Order Form.
19. Suspension Rights
19.1 TailoredQuote may suspend or restrict access immediately, with or without notice, if it reasonably believes:
- you have breached this Agreement;
- your use poses a security risk;
- your use may expose TailoredQuote or others to liability;
- Fees are overdue;
- your activity is unlawful, abusive, fraudulent, or harmful; or
- suspension is necessary to comply with law or a regulator requirement.
19.2 Suspension does not waive your obligation to pay accrued Fees.
20. Termination
20.1 You may terminate this Agreement by cancelling your subscription and ceasing use of the Service.
20.2 TailoredQuote may terminate this Agreement immediately on notice if:
- you materially breach this Agreement and fail to remedy the breach within 14 days where it is capable of remedy;
- you repeatedly breach this Agreement;
- you become insolvent or unable to pay your debts;
- your use creates material legal, reputational, technical, operational, or security risk; or
- TailoredQuote discontinues the Service generally.
20.3 On termination or expiry:
- your right to use the Service ends immediately;
- TailoredQuote may disable Account access;
- TailoredQuote may delete or return Customer Content in accordance with its normal procedures and Schedule 1;
- provisions intended to survive shall continue.
21. Export, Backups, Retention, and Deletion
21.1 You are solely responsible for exporting, downloading, and backing up any quotes, invoices, signed agreements, customer data, images, generated outputs, or other records you need.
21.2 TailoredQuote is not responsible for loss of data, inability to recover data, or any loss arising from your failure to export or back up your own data.
21.3 TailoredQuote does not guarantee permanent storage, recoverability, or indefinite retention of your data.
21.4 TailoredQuote is not obliged to store Customer Content indefinitely after termination.
21.5 Backup copies may persist for a limited period in ordinary backup rotation, disaster-recovery systems, security systems, fraud-prevention systems, internal records, or audit logs.
22. Warranties Disclaimer
22.1 Except as expressly stated in this Agreement, the Service is provided “as is” and “as available.”
22.2 To the maximum extent permitted by law, TailoredQuote excludes all implied conditions, warranties, representations, and terms, including as to satisfactory quality, merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, compatibility, availability, legal effect, and results.
22.3 TailoredQuote does not warrant that:
- the Service will meet all your requirements;
- the Service will be uninterrupted, secure, or error-free;
- defects will always be corrected;
- Generated Outputs will be accurate or suitable;
- emails or signature requests will always reach their intended recipients; or
- signed records will be accepted as sufficient for every legal or evidential purpose.
23. Indemnity
23.1 You must indemnify and keep indemnified TailoredQuote, its officers, employees, contractors, and suppliers against all losses, liabilities, damages, claims, fines, penalties, costs, and reasonable legal expenses arising out of or in connection with:
- your Customer Content;
- your breach of this Agreement;
- your unlawful or improper use of the Service;
- your infringement of third-party rights;
- your failure to obtain necessary permissions, notices, rights, or lawful bases;
- any dispute between you and your own customer, client, signer, subcontractor, supplier, or other third party relating to any quote, invoice, image, signature request, signed record, acceptance, project, pricing, or representation;
- your use of the E-Signature Feature; or
- any instruction you give TailoredQuote that breaches law.
24. Limitation of Liability
24.1 Nothing in this Agreement excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any liability that cannot lawfully be excluded or limited.
24.2 Subject to clause 24.1, TailoredQuote shall not be liable for:
- loss of profit;
- loss of revenue;
- loss of business;
- loss of contracts;
- loss of goodwill;
- loss of anticipated savings;
- business interruption;
- wasted management time;
- loss, corruption, inaccuracy, or unavailability of data;
- loss arising from inaccurate Generated Outputs;
- loss arising from your failure to review Generated Outputs;
- loss arising from use or misuse of the E-Signature Feature; or
- any indirect, incidental, special, or consequential loss.
24.3 Subject to clause 24.1, TailoredQuote’s total aggregate liability arising out of or in connection with this Agreement, whether in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution, or otherwise, shall not exceed the total Fees paid by you to TailoredQuote in the 3 months immediately preceding the event giving rise to the claim.
24.4 If you have paid no Fees, TailoredQuote’s total aggregate liability shall not exceed £100.
24.5 You acknowledge that the Fees reflect the allocation of risk under this Agreement.
25. Force Majeure
25.1 TailoredQuote is not liable for any failure or delay caused by events beyond its reasonable control, including internet failures, cloud outages, cyberattacks, utility failures, industrial disputes, pandemics, war, civil unrest, natural disasters, or failures of third-party infrastructure.
26. Changes to the Service and Terms
26.1 TailoredQuote may update, modify, replace, or remove features, workflows, integrations, technical components, or service elements from time to time.
26.2 TailoredQuote may amend these Terms from time to time.
26.3 Updated Terms take effect on posting or on the stated effective date.
26.4 Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
27. Notices
27.1 TailoredQuote may give notices by email, in-app message, dashboard notice, or website posting.
27.2 You must send legal notices to [email protected], unless TailoredQuote specifies a different legal notices address.
28. General
28.1 You may not assign or transfer this Agreement without TailoredQuote’s prior written consent.
28.2 TailoredQuote may assign or transfer this Agreement in connection with a reorganisation, merger, financing, sale, acquisition, or business transfer.
28.3 If any provision is found invalid or unenforceable, the remainder of the Agreement remains in force.
28.4 A delay or failure to exercise a right does not waive that right.
28.5 This Agreement constitutes the entire agreement between the parties in relation to its subject matter.
28.6 Nothing in this Agreement creates a partnership, agency, employment relationship, or fiduciary relationship.
28.7 A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce it.
29. Governing Law and Jurisdiction
29.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.
29.2 The courts of England and Wales shall have exclusive jurisdiction.
Schedule 1 – Data Processing Schedule
1. Scope
1.1 This Schedule applies where TailoredQuote processes personal data on your behalf as processor.
1.2 You appoint TailoredQuote to process personal data solely for the purpose of providing the Service and related support, storage, hosting, security, communications, quote generation, mockup generation, PDF generation, and e-signature workflows.
1.3 The subject matter, duration, nature, and purpose of processing are those necessary to provide the Service during the subscription term and any lawful retention period.
1.4 Categories of personal data may include:
- names;
- email addresses;
- telephone numbers;
- business names;
- billing addresses;
- customer and project details;
- property addresses;
- property, room, garden, and site photographs;
- uploaded files, plans, and documents;
- quote and invoice content;
- signatures and acceptance metadata;
- IP addresses;
- timestamps;
- browser and device context.
1.5 Categories of data subjects may include:
- your customers and prospective customers;
- householders and occupiers;
- your staff and users;
- subcontractors and suppliers;
- signers and recipients of quotes or invoices.
2. Documented Instructions
2.1 TailoredQuote will process personal data only on your documented instructions, including as set out in this Agreement and through your use of the Service.
2.2 You instruct TailoredQuote to host, store, organise, transmit, generate, and make available Customer Content as necessary to provide the Service.
3. Your Controller Obligations
3.1 You warrant that:
- your instructions are lawful;
- you have provided any required privacy information;
- you have a valid lawful basis for the processing; and
- your use of the Service complies with applicable data protection law.
3.2 You remain responsible as controller for:
- determining the purposes and means of your processing;
- handling data subject rights requests;
- carrying out any DPIAs where required; and
- assessing whether the Service is suitable for your intended processing.
4. Confidentiality
4.1 TailoredQuote will ensure that persons authorised to process personal data are subject to appropriate confidentiality obligations.
5. Security
5.1 TailoredQuote will implement appropriate technical and organisational measures taking into account the risks presented by the processing.
6. Subprocessors
6.1 You give general written authorisation for TailoredQuote to appoint Subprocessors.
6.2 TailoredQuote will impose appropriate data protection obligations on Subprocessors where required by law.
7. Assistance
7.1 Taking into account the nature of the processing and the information available to TailoredQuote, TailoredQuote will provide reasonable assistance with security obligations, breach notifications, DPIAs, regulator consultations, and data subject rights requests to the extent required by law and reasonably requested.
7.2 TailoredQuote may charge reasonable fees for excessive, repetitive, or unusually burdensome assistance.
8. Personal Data Breaches
8.1 If TailoredQuote becomes aware of a personal data breach affecting personal data processed under this Schedule, TailoredQuote will notify you without undue delay where required by law.
9. Audit and Information Rights
9.1 TailoredQuote will make available information reasonably necessary to demonstrate compliance with this Schedule.
9.2 Any audit must be on reasonable notice, during business hours, no more than once in any 12-month period unless required by law or following a material incident, and in a manner that does not compromise security or the confidentiality of other customers.
9.3 TailoredQuote may satisfy audit requirements through security summaries, questionnaires, certifications, or similar evidence where appropriate.
10. Return and Deletion
10.1 On termination, TailoredQuote will delete or return personal data in accordance with its standard procedures unless law requires retention.
10.2 TailoredQuote may retain personal data where required by law or reasonably necessary for backup, security, fraud prevention, dispute management, audit, enforcement, or internal record purposes.
11. International Transfers
11.1 TailoredQuote may make restricted transfers only where permitted under applicable data protection law and authorised by this Agreement.
Schedule 2 – E-Signature and Signed Record Terms
1. Scope
1.1 The E-Signature Feature is intended to help you send routine quotes or similar business documents for electronic acceptance and to create a digital record of that acceptance.
1.2 It is not a legal advisory service, notarial service, witness service, or regulated trust service.
2. Your Responsibilities
2.1 You are solely responsible for:
- the content of the quote or document;
- the legal and commercial wording shown to the signer;
- whether the document is suitable for electronic acceptance;
- whether additional notices, terms, consumer rights wording, deposit wording, or separate agreements are required; and
- retention of signed records for your own legal and business purposes.
3. Signed Records
3.1 Signed records may include:
- the original quote or document;
- an appended acceptance page;
- a signature image;
- typed name;
- email address;
- IP address;
- timestamp;
- quote reference; and
- declaration text.
3.2 Storage of a signed record in the Service does not remove your responsibility to retain records you need for your own contractual, evidential, legal, tax, or business purposes.
4. No Guarantee of Enforceability
4.1 TailoredQuote does not guarantee that:
- any acceptance creates a binding contract in every case;
- any signer had authority to bind another person or entity;
- any court, insurer, adjudicator, or regulator will treat a signed record in a particular way; or
- any signed record is sufficient for every legal purpose.
5. Excluded Uses
5.1 You must not use the E-Signature Feature for documents requiring:
- witnessing;
- notarisation;
- deed formalities;
- qualified signatures;
- advanced signatures; or
- any execution method outside the ordinary scope of the feature.
